1. Acceptance of Terms

By accessing and using Tryzent's AI agents marketplace platform ("Platform") and services available at https://agents.tryzent.com, you ("User", "you", or "your") accept and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use this Platform.

These Terms constitute a legally binding agreement between you and Tryzent Technologies Private Limited ("Tryzent", "we", "us", or "our").

2. Description of Service

Tryzent provides an AI-powered agents marketplace platform that allows users to discover, access, and utilize pre-built AI agents for various applications. Our Platform includes:

• Access to a marketplace of pre-built AI agents
• AI agent integration capabilities for various use cases
• Credit-based usage system for accessing AI agents
• Analytics and performance monitoring
• Customer support services

3. User Accounts and Registration

3.1 Account Creation

To access the Platform, you must register for an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your information to keep it accurate and current
• Maintain the security and confidentiality of your password and account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept all responsibility and liability for activities conducted through your account
• Not share your account credentials with any third party

3.2 Account Eligibility

You must be at least 18 years of age to create an account. By creating an account, you represent and warrant that you meet this age requirement.

3.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in activities that harm the Platform or other users.

4. Credits System

4.1 Free Credits

Upon successful registration, new users receive 20 free credits as a one-time promotional offer to test and experiment with the Platform. These credits are:

• Provided once per account
• Non-renewable and non-refundable
• Subject to the same terms as purchased credits
• Not transferable to other accounts

4.2 Credit Purchase

Users may purchase additional credits through the Platform to continue using AI agents. Credits can be purchased:

• As pre-defined bundles with discounted pricing
• As custom quantities selected by the user at standard per-credit pricing
• Via our integrated payment gateway (Razorpay)

4.3 Credit Properties

All credits (free and purchased) have the following properties:

• Non-expiring: Credits do not have an expiration date and remain valid indefinitely
• Cumulative: Unused credits carry forward and accumulate with new purchases
• Non-transferable: Credits cannot be transferred, sold, or gifted to other accounts
• Non-refundable: Once purchased, credits cannot be refunded (see Section 6)
• Account-specific: Credits are tied to the purchasing account only

4.4 Credit Usage

• Credits are consumed when you use AI agents on the Platform
• Different AI agents may consume different amounts of credits per interaction
• Credit consumption rates are displayed on the Platform before usage
• When credits are exhausted, you must purchase additional credits to continue using paid AI agents
• There are no restrictions on how quickly credits can be consumed

4.5 Credit Balance

Your current credit balance is visible in your account dashboard. You are responsible for monitoring your credit balance.

5. Payments and Pricing

5.1 Payment Methods

We accept payments through Razorpay payment gateway, which supports various payment methods including credit cards, debit cards, net banking, UPI, and digital wallets.

5.2 Pricing

• Credit pricing is displayed on the Platform at the time of purchase
• Bundle pricing may differ from custom credit pricing
• All prices are in Indian Rupees (INR)
• Pricing may be changed at our discretion with prior notice on the Platform

5.3 Taxes

All prices displayed are exclusive of applicable taxes. Goods and Services Tax (GST) and any other applicable taxes will be added to your purchase total at checkout. A GST-compliant invoice will be provided for all purchases.

5.4 Payment Processing

• Payments are processed securely through Razorpay
• You must provide accurate payment information
• By providing payment information, you authorize us to charge the total amount including taxes
• Payment confirmation is sent via email upon successful transaction

5.5 Payment Security

We do not store your credit card or banking information. All payment data is securely handled by our payment gateway provider in compliance with applicable regulations.

5.6 Failed Transactions

If a payment fails, credits will not be added to your account. Please contact our support team if you believe you were charged but did not receive credits.

6. Refund and Cancellation Policy

6.1 No Refunds Policy

All credit purchases are final and non-refundable. Once credits are purchased and added to your account, they cannot be refunded, exchanged, or converted to cash under any circumstances, including but not limited to:

• Change of mind
• Unused credits
• Dissatisfaction with AI agent performance
• Technical issues (unless caused by Platform failure)
• Account closure or deletion

6.2 Exceptions

Refunds may only be considered in the following exceptional circumstances at our sole discretion:

• Duplicate charges due to technical errors on our end
• Credits not delivered after successful payment within 24 hours
• Proven unauthorized transactions (subject to verification)

6.3 Refund Process

In cases where refunds are approved:

• Refund requests must be submitted to contact@tryzent.com within 7 days of purchase
• Refunds will be processed to the original payment method within 10-15 business days
• Razorpay processing fees, if any, are non-refundable

6.4 Cancellation

Since credits are delivered instantly upon purchase, there is no cancellation period. All sales are considered complete immediately upon credit delivery to your account.

7. Delivery Policy

7.1 Digital Delivery

As this is a digital service:

• Credits are delivered instantly and electronically to your account
• No physical products are shipped
• No shipping charges apply
• Delivery is considered complete once credits reflect in your account balance

7.2 Delivery Confirmation

You will receive an email confirmation upon successful credit purchase and delivery.

8. Subscription Plans

8.1 Current Status

Tryzent does not currently offer subscription plans. All services are provided on a pay-per-use basis through credit purchases.

8.2 Future Plans

We reserve the right to introduce subscription plans in the future. Users will be notified of any new subscription offerings, and separate terms may apply.

9. Acceptable Use Policy

You agree not to use the Platform or services to:

• Violate any applicable local, state, national, or international laws or regulations
• Infringe upon intellectual property rights of Tryzent or any third party
• Transmit harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
• Transmit content that promotes discrimination, hatred, or violence against individuals or groups
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Interfere with or disrupt the Platform's functionality or servers
• Use automated systems (bots, scrapers) to access the Platform without authorization
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit viruses, malware, or other malicious code
• Use the Platform for any illegal or unauthorized commercial purpose
• Create or use AI agents that spread misinformation, engage in fraud, or cause harm
• Reverse engineer, decompile, or attempt to extract source code from the Platform
• Share or resell your account access or credits to third parties

Violation of this policy may result in immediate account suspension or termination without refund.

10. AI Content and Accuracy

10.1 AI-Generated Content

AI agents on our Platform generate responses based on machine learning models, training data, and algorithms. You acknowledge and agree that:

• AI-generated content may contain inaccuracies, errors, or biases
• We do not guarantee the accuracy, completeness, reliability, or suitability of AI-generated content
• AI responses are not professional advice (legal, medical, financial, etc.)
• You are solely responsible for reviewing, validating, and using AI-generated content

10.2 User Responsibility

Users must:

• Verify AI-generated content before relying on it for critical decisions
• Use AI agents responsibly and ethically
• Not rely solely on AI output for professional or safety-critical applications
• Understand the limitations of AI technology

10.3 No Warranties

AI agents are provided "as is" without warranties of any kind regarding their output or performance.

11. Intellectual Property

11.1 Platform Ownership

The Platform, including all software, algorithms, designs, text, graphics, logos, user interface, visual design, and other content, is owned by Tryzent Technologies Private Limited and protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

11.2 User Content

You retain ownership of any content, data, or information you input into the Platform. By using the Platform, you grant us a worldwide, non-exclusive, royalty-free license to:

• Host, store, and process your content to provide services
• Use aggregated and anonymized data for service improvement and analytics
• Display your content as necessary to operate the Platform

11.3 AI Agent Output

The ownership of AI-generated content depends on the specific AI agent and its terms. Users should review individual AI agent terms for clarity on output ownership.

11.4 Restrictions

You may not:

• Copy, modify, distribute, or create derivative works from Platform content
• Remove or alter any copyright, trademark, or proprietary notices
• Use Tryzent's name, logo, or trademarks without written permission

12. Privacy and Data Protection

12.1 Privacy Policy

Your privacy is important to us. Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference and available at https://agents.tryzent.com/privacy-policy.

12.2 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

12.3 User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account information
• Any data you upload or share through the Platform
• Ensuring compliance with applicable data protection laws when using our services

13. Service Availability and Maintenance

13.1 Availability

While we strive to maintain high service availability and uptime, we do not guarantee uninterrupted, timely, secure, or error-free access to the Platform. The Platform may be unavailable due to:

• Scheduled maintenance and updates
• Unscheduled maintenance or emergency repairs
• Technical issues beyond our control
• Third-party service provider issues
• Force majeure events

13.2 Maintenance

We reserve the right to:

• Perform scheduled maintenance with advance notice when possible
• Conduct emergency maintenance without notice
• Temporarily suspend services for updates or improvements
• Modify or discontinue features with reasonable notice

13.3 No Credit Adjustment

Service interruptions, whether scheduled or unscheduled, do not entitle users to credit refunds or adjustments unless the outage is prolonged and caused by our negligence.

14. Limitation of Liability

14.1 Disclaimer

To the fullest extent permitted by applicable law:

• The Platform and all services are provided "as is" and "as available" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
• We do not warrant that the Platform will be uninterrupted, secure, or error-free

14.2 Liability Cap

Tryzent Technologies Private Limited, its directors, employees, partners, agents, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Unauthorized access to your account or data
• Errors or inaccuracies in AI-generated content
• Any damages arising from your use or inability to use the Platform

Even if we have been advised of the possibility of such damages.

14.3 Maximum Liability

Our total liability to you for any claims arising from these Terms or use of the Platform shall not exceed the total amount you paid to us in the six (6) months preceding the claim, or INR 10,000, whichever is lower.

14.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Tryzent Technologies Private Limited, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights, including intellectual property rights
• Your use or misuse of the Platform
• Content you submit or transmit through the Platform
• Unauthorized access to your account due to your failure to safeguard credentials

16. Termination

16.1 Termination by User

You may terminate your account at any time by:

• Contacting our support team at contact@tryzent.com
• Following the account deletion process in your account settings

Upon termination by you:

• Your access to the Platform will cease immediately
• All unused credits will be forfeited without refund
• Your data may be deleted in accordance with our data retention policy

16.2 Termination by Tryzent

We reserve the right to suspend or terminate your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the Platform or AI agents
• Non-payment or payment disputes
• Extended period of inactivity
• At our sole discretion for any other reason

16.3 Effect of Termination

Upon termination for any reason:

• Your right to use the Platform ceases immediately
• All licenses granted to you terminate
• Unused credits are forfeited without refund
• Sections that by their nature should survive termination will continue to apply

16.4 No Refunds on Termination

Termination of your account, whether by you or by us, does not entitle you to any refund of unused credits or fees paid.

17. Dispute Resolution and Governing Law

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

17.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

17.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at contact@tryzent.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

17.4 Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in New Delhi, India, in English language.

18. Changes to Terms

18.1 Right to Modify

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Material changes will be communicated through:

• Email notification to your registered email address
• Prominent notice on the Platform
• In-app notification

18.2 Effective Date of Changes

Changes become effective:

• Immediately upon posting for non-material changes
• 30 days after notification for material changes affecting pricing or core features
• As specified in the notification for other changes

18.3 Acceptance of Changes

Your continued use of the Platform after changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and may close your account.

18.4 Review Responsibility

It is your responsibility to review these Terms periodically. We will update the "Last updated" date at the top of this page when changes are made.

19. Third-Party Services

19.1 Payment Gateway

We use Razorpay as our payment gateway provider. Your use of Razorpay is subject to their terms of service and privacy policy. We are not responsible for Razorpay's services or any issues arising from their platform.

19.2 AI Models and Services

The Platform may utilize third-party AI models and services. We are not responsible for the performance, accuracy, or availability of third-party AI services.

19.3 No Endorsement

Reference to any third-party products, services, or websites does not constitute our endorsement or recommendation.

20. Miscellaneous Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tryzent regarding the Platform and supersede all prior agreements and understandings.

20.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing by us.

20.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or any rights hereunder without restriction.

20.5 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

20.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

20.7 Relationship

Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Tryzent.

20.8 Language

These Terms are executed in English. Any translation is provided for convenience only. In case of conflict between English and translated versions, the English version shall prevail.
